Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and DL Collective Photography LLC (“Company,” “we,” “us,” or “our”), concerning your access to and use of the website located at https://www.dl-collective.com, as well as any other media form, media channel, mobile website, or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not agree with all of these Terms, you are prohibited from using the Site and must discontinue use immediately.

We reserve the right to modify these Terms at any time. Updates will be reflected by revising the “Last Updated” date. Continued use of the Site after changes constitutes acceptance of revised Terms.

  • Marketing strategy and consulting

  • Brand development and creative direction

  • SEO and email marketing support

  • Website maintenance

  • Paid advertising support

  • Printed and digital marketing materials

  • Related creative and marketing services

Specific services, deliverables, timelines, and payment terms are governed by separate written service agreements executed between the Company and its clients.

Intellectual Property Rights

Unless otherwise indicated, the Site and all content contained therein, including but not limited to photographs, videos, graphics, designs, text, branding, logos, and other materials (collectively, the “Content”), are owned by or licensed to DL Collective Photography LLC and are protected by applicable intellectual property laws.

No Content may be copied, reproduced, distributed, modified, or used for commercial purposes without prior written consent from the Company.

You are granted a limited, non-exclusive license to access and use the Site for personal, non-commercial use only.

Client Deliverables and Licensing

Unless otherwise agreed in writing:

  • DL Collective Photography LLC retains all copyrights and intellectual property rights in all created materials.

  • Clients are granted a perpetual, non-exclusive license to use final delivered materials for their own marketing, promotional, and business purposes after full payment has been received.

  • Deliverables may not be resold, sublicensed, or transferred to third parties without written permission from the Company.

  • Raw files and project files are not included unless explicitly stated in writing.

Portfolio and Promotional Use

DL Collective Photography LLC reserves the right to display completed work, including photography, video, branding, and marketing materials, in portfolios, on the Company website, social media platforms, advertising materials, and other promotional or educational uses unless otherwise agreed in writing.

User Representations

By using the Site, you represent and warrant that:

  1. You have the legal authority to enter into these Terms;

  2. You will not use the Site for unlawful purposes;

  3. You will not attempt to interfere with the Site’s functionality or security;

  4. You will not use automated systems to access or extract data from the Site.

Prohibited Activities

You agree not to:

  • Copy or scrape Site content without permission;

  • Upload or transmit malicious code or disruptive materials;

  • Impersonate another person or entity;

  • Use the Site in a way that competes directly with or harms the Company;

  • Attempt to bypass security measures or access restricted areas of the Site.

Privacy Policy

Your use of the Site is also governed by our Privacy Policy. By using the Site, you consent to the collection and use of information as described therein. The Site is hosted in the United States, and data may be processed within the United States.

THE SITE AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, DL COLLECTIVE PHOTOGRAPHY LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted or error-free operation of the Site.

Limitation of Liability

IN NO EVENT SHALL DL COLLECTIVE PHOTOGRAPHY LLC OR ITS MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM THE USE OF THE SITE OR SERVICES.

The Company’s total liability shall not exceed the amount paid by you to the Company within the six (6) months preceding any claim.

Indemnification

You agree to defend, indemnify, and hold harmless DL Collective Photography LLC and its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Site, violation of these Terms, or infringement of third-party rights.

Modifications and Interruptions

We reserve the right to modify, suspend, or discontinue the Site at any time without notice. We are not liable for any interruption or loss resulting from Site unavailability.

Governing Law

These Terms of Use shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict of law principles. Any disputes shall be resolved in the courts located within Florida.
